1. Services

Merchantize.ai provides tools, guides, and consulting services to help merchants prepare their product catalogs for the Agentic Commerce Protocol (ACP) and ChatGPT Instant Checkout integration. Our services include:

• Free online tools for feed validation, readiness assessment, and technical preparation
• Educational guides and resources
• Optional consulting and implementation services

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use our services. By using Merchantize.ai, you represent that you meet these requirements.

3. User Accounts and Information

When you submit information through our lead forms or tools:

• You agree to provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of any account credentials
• You agree not to use another person's information without permission
• We may contact you at the email address you provide regarding our services

4. Acceptable Use

You agree not to:

• Use our tools or services for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Upload malicious code, viruses, or harmful content
• Use automated systems (bots, scrapers) without our written permission
• Misrepresent your identity or affiliation
• Interfere with or disrupt our services

5. Free Tools

Our free tools are provided "as is" for informational purposes:

• Tool outputs are guidance only, not guarantees of ACP compliance or ChatGPT approval
• We are not responsible for decisions you make based on tool results
• We reserve the right to modify, suspend, or discontinue any tool at any time
• File uploads are processed temporarily and not permanently stored by us

6. Intellectual Property

All content on Merchantize.ai, including text, graphics, logos, tools, and software, is owned by or licensed to us and protected by copyright and trademark laws. You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks or branding without written consent
• Reverse engineer or attempt to extract source code from our tools

You retain all rights to content you upload to our tools.

7. Third-Party Services

Our services may integrate with or reference third-party platforms (Shopify, Stripe, ChatGPT, etc.). We are not responsible for:

• The availability or functionality of third-party services
• Third-party terms, policies, or practices
• Changes to third-party platforms that affect ACP compatibility

8. Consulting Services

If you engage our consulting services:

• Specific terms will be provided in a separate agreement or statement of work
• Services are performed on a best-efforts basis
• We cannot guarantee approval by ChatGPT, OpenAI, or any third party
• Payment terms and deliverables will be clearly outlined before work begins

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our services are provided "as is" and "as available" without warranties of any kind
• We do not guarantee uninterrupted, secure, or error-free service
• We make no warranties about ACP compliance, ChatGPT approval, or business results
• We are not responsible for losses resulting from use of our tools or guidance

10. Limitation of Liability

To the fullest extent permitted by law, Merchantize.ai and its team shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, data, or business opportunities
• Damages exceeding the amount you paid us in the 12 months prior to the claim

Some jurisdictions do not allow certain limitations, so these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Merchantize.ai from any claims, damages, or expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights

12. Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to our privacy practices.

13. Changes to Terms

We may update these Terms at any time. Changes are effective when posted. Continued use of our services after changes constitutes acceptance of the new Terms. We will indicate the "Last Updated" date at the top.

14. Termination

Upon termination, these Terms remain in effect for matters that arose before termination.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

16. Dispute Resolution

For any dispute arising from these Terms or our services:

• If unresolved within 30 days, either party may pursue formal legal action
• You waive the right to participate in class action lawsuits against us

17. General

• Entire Agreement: These Terms constitute the entire agreement between you and Merchantize.ai
• Severability: If any provision is unenforceable, the remaining provisions remain in effect
• No Waiver: Our failure to enforce any right or provision is not a waiver
• Assignment: You may not assign these Terms; we may assign them without restriction
